1 Acceptance of Terms

By accessing or using HADI-HMS ("the Platform"), you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services. These terms apply to all users, including hospitals, clinics, laboratories, and individual healthcare professionals.

2 Use of the Platform

You agree to use HADI-HMS only for lawful purposes. You are prohibited from:

• Using the platform in any way that violates applicable laws or regulations
• Attempting to gain unauthorized access to any part of the platform
• Transmitting any malicious code, viruses, or harmful data
• Sharing login credentials with unauthorized users
• Reverse engineering or copying any part of the platform without written consent

3 Subscription & Payment

HADI-HMS is offered under a subscription-based model. By subscribing:

• You agree to pay the applicable subscription fees as per your selected plan
• All fees are exclusive of applicable taxes (GST as per Indian tax laws)
• Subscriptions auto-renew unless cancelled before the renewal date
• Refund requests are evaluated case-by-case within 7 days of purchase

4 Intellectual Property

All content, software, trademarks, logos, and intellectual property on the HADI-HMS platform are owned by or licensed to HADI Tech Solutions. You may not copy, reproduce, distribute, or create derivative works without our prior written consent. Your use of the platform grants you a limited, non-exclusive, non-transferable license to access and use the platform for your internal healthcare operations.

5 Data Ownership & Responsibility

You retain full ownership of all patient and hospital data entered into HADI-HMS. You are responsible for ensuring all data entered is accurate, lawfully obtained, and compliant with applicable healthcare regulations (including the Digital Personal Data Protection Act, 2023). HADI-HMS acts as a data processor and will handle your data only as per our Privacy Policy.

6 Limitation of Liability

HADI-HMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits arising from your use of or inability to use the platform. Our total liability in any case shall not exceed the amount paid by you in the last 3 months of subscription.

7 Termination

We reserve the right to suspend or terminate your account at any time if you breach these Terms and Conditions, without prior notice. Upon termination, your right to access the platform ceases immediately. You may export your data within 30 days of termination; after this period, data may be permanently deleted.

8 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.
